1. Acceptance of Terms

By accessing or using PypeStack ("Service"), operated by PypeStack LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

PypeStack is an AI-powered sales coaching platform that allows sales managers and teams to upload, transcribe, and analyze sales call recordings; generate coaching feedback and performance scores; track rep performance over time; and share summarized reports with individual sales representatives.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to provide advance notice of material changes.

3. Accounts and Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. The Service is intended for business use by sales professionals and their managers. It is not directed to consumers or individuals acting in a personal capacity.

3.1a Minimum Age and COPPA Compliance

By creating an account, you represent and warrant that you are at least 18 years old. If we discover that a user is under 18, we will immediately terminate the account and delete all associated data. PypeStack is not directed to children under 13 and does not knowingly collect, use, or disclose personal information from children under 13. If we become aware that we have collected information from a child under 13, we will delete such information and terminate the child's account without unreasonable delay, consistent with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. §6501 et seq.

3.1b Geographic Availability

PypeStack is currently available to users in the United States only. By creating an account and using the Service, you represent that you are located in the United States and will not access or use the Service from any jurisdiction outside the United States.

3.2 HIPAA Notice

PypeStack is not a HIPAA-covered entity and is not a HIPAA Business Associate. The Service is not designed or certified for processing Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act. You must not upload recordings that contain PHI.

3.3 Account Registration

You must provide accurate and complete information when creating an account and keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@pypestack.com if you suspect unauthorized access to your account.

3.4 One Account Per User

Each account is for a single authorized user. You may not share your account credentials or allow others to access the Service through your account.

4. Subscriptions and Billing

4.1 Plans

PypeStack offers free and paid subscription plans. Paid plans are billed monthly or annually in advance. Current pricing is available at pypestack.com.

4.2 Payment

Payment is processed by our third-party payment provider, Stripe, Inc. By providing payment information, you authorize us to charge the applicable fees to your payment method. All fees are in US dollars unless otherwise stated.

4.3 Renewals

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time from your account settings. Cancellations take effect at the end of the current billing period; we do not provide refunds for partial periods unless required by applicable law.

4.4 Price Changes

We may change subscription fees with at least 30 days' prior notice. Continued use of the Service after the notice period constitutes acceptance of the new pricing.

4.5 Taxes

You are responsible for all applicable taxes. Prices displayed do not include taxes unless expressly stated.

4.6 Free Plan Limitations

Free plan features and usage limits may change at any time. We do not guarantee that any free tier will remain available.

4.7 Free Trials

Paid plans include a 14-day free trial. Solo plan trials include up to 25 call scans; Coach plan trials include up to 50 call scans. A valid payment method is required to start a trial and will be charged at the end of the trial period unless you cancel before the trial ends. At the end of the trial period, if you have not cancelled, your subscription will automatically convert to a paid plan. If you subscribe during or after the trial, your billing cycle begins on the subscription date.

6. Your Content

6.1 Ownership

You retain ownership of all audio recordings, transcripts, and other content you upload to the Service ("Your Content"). These Terms do not transfer any ownership rights to us.

6.2 License to Us

By uploading Your Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and use Your Content solely to provide the Service to you. We do not use Your Content to train AI models. See our Privacy Policy for details on how content is processed by third-party AI providers.

6.3 Your Responsibility

You are solely responsible for Your Content and for ensuring you have all necessary rights, consents, and legal authority to upload and process it. This includes obtaining any required consent from call participants under applicable recording and wiretapping laws (see Section 8).

6.4 Prohibited Content

You may not upload content that is unlawful, fraudulent, defamatory, obscene, or that infringes any third-party intellectual property or privacy rights.

7. AI-Generated Output

AI analysis, scores, summaries, and coaching recommendations generated by PypeStack are produced by large language models and may contain errors, omissions, or inaccuracies. AI-generated scores, summaries, and coaching notes must not be used as the basis — in whole or in substantial part — for employment decisions including termination, demotion, compensation changes, or disciplinary action without independent human review and documentation of that review. PypeStack makes no representation that its AI scoring is free from bias. You are solely responsible for ensuring your use of AI-generated outputs complies with all applicable employment, anti-discrimination, and labor laws.

We make no warranty that AI-generated output is accurate, complete, or suitable for any particular purpose. Scores and feedback represent an automated assessment and should be interpreted in context by a qualified manager or coach.

You acknowledge that AI output may vary for identical inputs and that the Service does not replace human judgment.

8. Call Recording, Consent, and Voice Processing

Recording telephone calls and meetings without the consent of all parties may violate federal law (18 U.S.C. § 2511) and state wiretapping statutes. Laws vary by jurisdiction within the United States. It is your sole responsibility to:

PypeStack does not verify whether recordings were obtained lawfully. By uploading a recording, you represent and warrant that you have complied with all applicable consent and recording laws. We disclaim all liability arising from your failure to obtain required consent.

8.1 Biometric Data and Voice Processing

When you upload a recording, the Service submits it to AssemblyAI for transcription and may enable speaker diarization, which uses voice characteristics to distinguish and identify individual speakers. This process may constitute the collection or processing of biometric identifiers (including voice prints) under applicable U.S. state laws such as the Illinois Biometric Information Privacy Act (BIPA) and the Texas Capture or Use of Biometric Identifier Act (CUBI).

You are solely responsible for:

PypeStack does not collect, store, or maintain voice prints or biometric identifiers as defined by applicable law. Audio is transmitted to AssemblyAI solely for transcription and is subject to AssemblyAI's data retention and privacy policies. We disclaim all liability arising from your failure to comply with applicable biometric privacy laws.

8.2 Speaker Identification Accuracy

Speaker diarization and identification features are automated and may produce inaccurate results. Talk time ratios, speaker-attributed scores, and other metrics derived from automated speaker identification are estimates and may not accurately reflect actual speaker contributions, particularly in calls with poor audio quality, more than two speakers, overlapping speech, or non-standard audio formats. These metrics must not be relied upon as the sole basis for evaluating individual performance. PypeStack makes no warranty as to the accuracy of speaker attribution.

8.3 Participant Consent Obligations

PypeStack's in-app consent flow applies solely to the Account Holder's acknowledgment of PypeStack's data practices. It does NOT constitute consent on behalf of call participants. You are solely and exclusively responsible for:

PypeStack's acceptance of your upload does not imply that legal consent requirements have been met. Uploading a recording without required participant consent is a material breach of these Terms and grounds for immediate account termination. PypeStack disclaims all liability for your failure to obtain required participant consent.

9. Third-Party Services

The Service relies on third-party providers including Supabase (database), Anthropic (AI analysis), AssemblyAI (transcription), Stripe (payments), Resend (email), and Netlify (hosting). Use of these providers is governed by their respective terms of service and privacy policies. We are not responsible for the acts or omissions of these third parties.

The Service may integrate with platforms such as Microsoft Teams or Zoom. Such integrations are provided as-is and may be modified or discontinued. PypeStack is not affiliated with, endorsed by, or sponsored by any third-party platform.

9.1 Bring Your Own Key (BYOK)

PypeStack allows you to connect your own Anthropic and AssemblyAI API keys ("BYOK"). By providing API keys, you acknowledge and agree that: (a) you are solely responsible for the security, rotation, and management of any API keys you provide; (b) PypeStack stores your keys encrypted at rest but cannot guarantee absolute security; (c) you are solely responsible for all API usage charges incurred through your keys, including any unauthorized use; (d) PypeStack is not liable for any costs, damages, or losses arising from the compromise, misuse, or unauthorized access to your API keys; and (e) you should immediately rotate any key you believe may have been compromised and notify us at support@pypestack.com.

10. Intellectual Property

10.1 Our Property

The Service, including its software, design, trademarks, and documentation, is owned by PypeStack and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service without our prior written consent.

10.2 Feedback

If you submit suggestions, feedback, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

10.3 Third-Party Trademarks

All third-party trademarks, product names, and logos mentioned in the Service (including Anthropic, AssemblyAI, Sandler, Challenger, MEDDIC, Zoom, Microsoft Teams, and others) are the property of their respective owners. Their mention does not imply endorsement of or by PypeStack.

11. Confidentiality and Data Processing

11.1 Confidential Information

Each party may disclose confidential information to the other in connection with the Service. Each party agrees to: (a) keep the other party's confidential information in strict confidence; (b) not disclose it to any third party without prior written consent; and (c) use it only for purposes of fulfilling obligations under these Terms.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

11.2 U.S. Data Processing

As PypeStack is currently available to U.S. users only, data processing is governed by applicable U.S. federal and state laws. All user data and content will be processed in accordance with the terms of the Privacy Policy and applicable U.S. law.

11.3 California Privacy Rights (CCPA / CPRA)

California residents may exercise rights under the CCPA and CPRA — including the right to know, delete, correct, and opt out of the sale or sharing of personal information — by contacting us at support@pypestack.com with the subject line "California Privacy Request." We will verify your identity and respond within 45 days of receipt. We may extend this period by an additional 45 days when necessary, with prior notice. PypeStack does not sell or share personal information. No fee will be charged for verifiable requests unless they are excessive or repetitive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that: (a) the Service will be free from errors or defects; (b) AI-generated analysis will be accurate or reliable; (c) the Service will be available at any particular time; or (d) any data stored on the Service will not be lost.

Some jurisdictions do not allow the exclusion of implied warranties; in such cases these exclusions apply to the fullest extent permitted by law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PYPESTACK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of: (a) the fees paid by you to PypeStack in the twelve (12) months preceding the claim; or (b) one hundred US dollars (USD $100).

The limitations in this section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between the parties.

You agree to indemnify, defend, and hold harmless PypeStack LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

15.1 By You

You may cancel your account at any time from your account settings. Cancellation ends your access to paid features at the end of your current billing period.

15.2 By Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. We may also terminate or suspend the Service generally with reasonable notice.

15.3 Effect of Termination

Upon termination, your right to access the Service ceases. We will delete or anonymize Your Content in accordance with our Privacy Policy. Sections 6.2, 10, 11, 12, 13, 14, and 16 survive termination.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@pypestack.com and give us 30 days to resolve the matter informally.

16.3 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, rather than in court. The arbitration shall be conducted on an individual basis. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@pypestack.com with subject line "Arbitration Opt-Out."

16.3a Small Claims Court Exception

Notwithstanding the foregoing arbitration clause, either party may bring an individual claim in small claims court for any dispute within that court's jurisdictional limit, without first being required to submit to arbitration. This small claims court exception applies regardless of whether you have opted out of arbitration.

16.3b AAA Fees

PypeStack will pay all AAA filing, administrative, and arbitrator fees for any arbitration you initiate, provided your claim is brought in good faith and does not exceed the value of the underlying dispute. You are responsible only for any costs you incur (such as attorney's fees) beyond the AAA's administrative and filing fees.

16.4 Class Action Waiver

You and PypeStack agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address on file) or by a prominent notice within the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the revised Terms, you must stop using the Service and cancel your account before the effective date.
